By confirmed, irrevocable, transferable and divisible L/C to be available by draft at sight, to reach the sellers before________Day,________Month,________Year and to remain valid for negotiation in China until 15 days after the aforesaid time of shipment. The L/C must specify that transhipment and partial shipments are allowed.
14. Force Majeure
The Sellers shall not be held liable for failure or delay in delivery of the entire lot or a portion of the goods under this Sales Confirmation on consequence of any Force Majeure incidents, such as flood, fire, draught, earthquake, seaquake, war and so on.
15. Insurance:to be covered by the seller for 110% of total invoice value against all risks and war risk as per the ocean marine cargo clauses of the people's insurance company of china, dated Jan 1st 1981.
16. Arbitration
Any dispute arising out of, in connection with this contract shall be referred to China international economic and trade arbitration commission for arbitration in accordance with its existing rules of arbitration. The place of arbitration shall be Beijing. The arbitral award is final and binding upon the two parties.
17. Versions
This contract is made out in both Chinese and English of which version is equally effective. Conflicts between these two languages arising therefrom, if any, shall be subject to Chinese version.

買方須于________年________月________日將保兌的、不可撤銷的、可轉(zhuǎn)讓分割的即期信用證開到賣方。信用證議付有效期延至上列裝運期后15天在中國到期,該信用證中必須注明允許分運及轉(zhuǎn)運。
14.不可抗力
本確認書所述全部或部分商品,如因水災(zāi)、火災(zāi)、干旱、地震、海嘯、戰(zhàn)爭等不可抗力,以致不能履約或延遲交貨,售方概不負責。
15.保險:由賣方按發(fā)票金額的110%,按照中國人民保險公司海洋運輸貨物保險條款(1981年1月1日)投保一切險和戰(zhàn)爭險。
16.仲裁
凡因本合同引起的或與本合同有關(guān)的爭議,均應(yīng)提交中國國際經(jīng)濟貿(mào)易委員會,按照申請仲裁時現(xiàn)行有效的仲裁規(guī)則進行仲裁,仲裁地點在北京,仲裁裁決是終局,對雙方均有約束力。

本合同中、英兩種文字具有同等法律效力,在文字解釋上,若有異議,以中文解釋為準。
